Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and A Holdings Company LLC ("ZoneRails," "we," "us," or "our"). They govern your access to and use of the ZoneRails desktop application, the ZoneRails Server, the websites at getzonerails.com and register.getzonerails.com, our APIs, and any related services (collectively, the "Service").

By installing the software, registering for a license, or otherwise using the Service, you accept these Terms. If you do not accept them, do not install, register, or use the Service.

2. Description of Service

ZoneRails is software for planning, deploying, and verifying DNS changes against providers you connect to it — including Cloudflare and Microsoft Active Directory DNS. It is offered in two forms: a desktop application for macOS and Windows, and ZoneRails Server, a self-hosted, multi-user edition that your team accesses through a web browser. In both forms, ZoneRails operates on your machine or your infrastructure; it reads and writes DNS records on your behalf using API tokens or domain credentials that you supply. We do not store, mirror, or transmit your DNS records to our servers.

3. License to Use the Software

Use of the software (desktop application and ZoneRails Server alike) is also governed by the End-User License Agreement (EULA). In summary, we grant you a personal, non-transferable, non-exclusive, revocable license to install and use ZoneRails on the machines — or, for ZoneRails Server, the server instance and the number of named user seats — you are licensed for, for your own internal business or personal purposes, in accordance with these Terms and the EULA. You may not redistribute, sublicense, or sell the software.

4. Accounts & License Keys

The free tier of ZoneRails requires only a license key, which is bound to the machine that registered it via a non-personal device fingerprint. The Pro tier and Server tiers may require a billing email and other contact information. A ZoneRails Server license is bound to the server instance and is limited to a stated number of named user seats; a seat is consumed by each enabled user account on your server, and seat limits are enforced when accounts are created or re-enabled. User accounts on a self-hosted ZoneRails Server are created and managed by your own administrators, on your infrastructure.

You are responsible for safeguarding your license key. License keys are personal to you and may not be shared, transferred, or sold without our written consent. We may revoke a license key if we determine, in good faith, that it has been issued in error, fraudulently, or used in violation of these Terms.

5. Fees

The Service is currently provided free of charge for all tiers. Registration may be required for certain tiers, but no fees are payable to use the Service. We may introduce paid tiers, fees, or usage limits in the future. If we do, we will provide at least 30 days' advance notice via email or in-app notice, and the introduction of fees will not apply retroactively to your prior use of the Service. You may decline any future paid tier by continuing to use only the tiers that remain free or by ceasing to use the Service.

6. Your Content, Tokens & Credentials

You retain ownership of all DNS records, API tokens, AD credentials, ticket numbers, change notes, audit logs, and any other content you process through ZoneRails ("Your Content"). We do not collect or store Your Content on our servers; it lives on your device and on the systems of the providers you connect to (e.g., Cloudflare, your AD domain controllers).

You represent and warrant that you have the necessary rights and authorisations to operate on the DNS zones and credentials you connect to ZoneRails, and that your use of the Service does not violate any agreement you have with a DNS provider or your employer.

7. Acceptable Use

You may not use the Service to:

• violate any law, regulation, or third-party right (including intellectual property and privacy rights);
• attack, disrupt, probe, or otherwise interfere with our infrastructure, license-validation systems, or any third-party DNS provider;
• circumvent or attempt to circumvent licensing, feature gates, machine binding, or access controls;
• reverse-engineer, decompile, or disassemble the software, except to the limited extent expressly permitted by law;
• resell, sublicense, or operate the Service as a managed service to third parties without a separate written agreement; or
• use the Service to manage DNS or systems you are not authorised to operate.

7.5. Production Use & Change Management

ZoneRails is designed to deploy real DNS changes against the providers you connect to it, including in production environments. You acknowledge that DNS changes can cause service outages, email delivery failures, certificate validation failures, and other significant business impact, and that misconfigured or mistimed changes may be difficult to reverse before propagation completes.

You are solely responsible for: (a) verifying that you are authorised to operate on the zones and credentials you connect to ZoneRails; (b) testing changes in a non-production environment where appropriate; (c) ensuring you have an appropriate change window and rollback plan before deploying to production; (d) maintaining your own backups of zone state; and (e) verifying changes after deployment. The planning, diff, and verification features in ZoneRails are intended to assist your change-management practices, not to replace them.

8. Third-Party Services

ZoneRails interoperates with third-party services that you choose to connect, including but not limited to Cloudflare and Active Directory DNS. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or behaviour.

We use third-party providers for limited operational purposes — transactional email (Gmail / Mailgun) and email delivery for license keys. See our Privacy Policy for details.

9. Intellectual Property

The Service, including all software, documentation, branding, and content (other than Your Content), is owned by A Holdings Company LLC or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license expressly granted by the EULA, no other rights are granted by these Terms.

10. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

You may stop using the Service at any time and uninstall the software. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, the EULA, or applicable law, or to protect the security or integrity of the Service. On termination, the licenses granted to you cease and you must stop using the Service.

The following provisions survive termination: 6 (Your Content), 7.5 (Production Use & Change Management), 9 (Intellectual Property), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law), and 17 (Contact).

12. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect every misconfiguration in your DNS environment.

You are responsible for your DNS. ZoneRails is a tool that helps you make changes more safely. You retain final responsibility for the changes deployed against your zones, including the accuracy of records, the readiness of any propagation windows, and the resilience of your services.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will A Holdings Company LLC, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to the Service, even if advised of the possibility of such damages.

Our total cumulative liability for all claims arising out of or related to the Service in any twelve-month period will not exceed the greater of (a) the fees you paid us in that period, or (b) USD $500.

14. Indemnification

You will defend, indemnify, and hold harmless A Holdings Company LLC and its officers, employees, and contractors from any claim, damages, liabilities, and reasonable attorneys' fees arising from (a) your use of the Service in violation of these Terms or applicable law; (b) Your Content, tokens, or credentials; or (c) DNS changes you deploy through the Service.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated via email or in-app notice. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The exclusive venue for any legal action arising from these Terms is the state or federal courts located in Delaware, and you and we consent to the personal jurisdiction of those courts. Either party may seek equitable or injunctive relief in any court of competent jurisdiction to protect intellectual-property rights.
